Both rigs are similar to my old pc (q6600/gtx 275). Decent deal, but it didn't cost me that much more to build my sig rig. Probably around $600, although I reused a couple things.

Nope. the whole rig. and it was in favor towards my mate at the same time. so kind of a win / win scenario. since I don't game at 1080p anyways.
Kind of boils down to whether the OP can afford to regret buying it in the first place.

How do you like the gtx 285? there are a few people locally that are selling newer GPU for cheap, so I will offer him on the low end and then get a newer GPU. I just cant find anything local with an i5 or i3 for lower than $400.

As in, knowing you wont have many upgrade paths and 1080p max gaming is defiantly out of the question (for the most part). that kind of regret.
I am currently having a lot of fun with the 285. 720p gaming no problem and currently enjoying farcry 3 maxed out (minus the obvious dx11 features).

I personally think you are better off going the apu route. there's nothing more annoying then having a noisy HTPC.
I've been out of the game for quite a while though so don't take my word on it. 250 seems reasonable.

Since I already have a PC that does 1080p gaming like a boss. The 6950 has been awesome for the last 2yrs. that isnt a real issue. It will just be nice to have a second rig that can do gaming while my main PC is occupied by my wife.

APU route would be good if I was only using it as a HTPC. This rig will be in another room, so noise will be a non issue. I am able to run an HDMI and optical cable from my office to the receiver in my media room. I tested it with my main rig last weekend. the wireless usb keyboard and mouse worked great.

I appreciate your insight and info.
