Help me to find which way to go? upgrade or build a new system?

I everyone,
I am in need of a computer for converting movie files and i am having a question for myself which i do not know what to pick between:

1/ Upgrade my current System ( buy Fan + PSU + RAM for overclock to get better performance) and but get is around 400USD
My current system is:
P4 Prescott 3.2E 1MB/800Mhz
P4P800
1GB(2x512)buffalo RAM dual channel(cheap ram, unstable)
Ati radeon 9550, 256MB ( cheap card, i dont really need more since i only play Counter Strile sometime, and it seem good enough)

or

2/ Build new system with budget of around 800USD (after selling that old system + 400)
probably will get something like C2D E6300
decent MotherBoard can be upgrade later on
2Gb of RAM ( not need to be top of the line but good enough to over clock sometime)
some cheap PCI-E card ( i dont play games much)
case and PSU



So which way should i go?
How does the C2D 6300 compare to the Prescott 3.2E?
i mostly use the system to convert movie files ( like compress movies from DVD to wmv)

any advice or feedback are welcomed

The Budget C2D System will perform alot better than the other system listed. Its all down to the CPU mate. As you dont play games that much its ok. The C2D is much better at decoding and encoding so will be great for what you want it for...C2D FTW.

You could save some money by going with the 939 socket / AMD but support for it is over. Parts are dirt cheap though so if your thrifty type you could do well
with a dual core opty 165 or the like and be pretty happy.

Yes A 939 System would be good and you could get a Kickass one..However if you can get the Budget cd2 go for it.

The Conroe is Dual Core. You'll get a significant power increase from that alone. Intels are crap for gaming I find. They're GETTING better....but AMD will always have them beat. Until this new stuff came out AMD was in the lead. HOWEVER....Seeing as how the best bang for the buck is Intel....go with the new build.

Reason.....

Dual core chips are good for multi tasking

Conroe WHICH IS INTEL Is currently one of the best if not THE best gaming CPU's out there lol.

The C2D will run laps around the Prescott 3.4E and stay only half the temps and use half the electrical usage.
Seems to be the logical answer.
Haven't heard any complaints about the C2D either. Wish I had one!

Thanks guys for your replies, so new budget build would make more sense for me now and i better in a long run.

also i have questions about AMD and Intel chips:

i've seen Intel chip have like 4MB or 2MB L2 Cache and AMD usually have only 512KB or 1MB(2x512kb) Cache,

1/so, Should not the Intel chips will perform better?

2/ What is the different between Duo Core(like pentium D) and Core 2 Duo? Is there much different in Performance?
