SLI reference gtx 680 with factory overclock gtx 680 (AMP! edition)

Hello. I currently have an MSI GTX 680 which is this model:
http://www.newegg.com/Product/Product.aspx?Item=N82E16814127671

I also have this aftermarket GPU cooler installed on it:
http://www.arctic.ac/en/p/cooling/vga/375/accelero-twin-turbo-ii.html

I can possibly get a GTX 680 AMP! edition locally for about $380. here is the link just for reference:
http://www.newegg.com/Product/Product.aspx?Item=N82E16814500248

Now, I know I can SLI these two cards together because they are the same model cards, just different brands. They are also 2GB. Now my actual question is, can I just overlock my reference gtx 680 through afterburner or bios and try to match the factory overclocked card? From my understanding, if I try to SLI them as it is, the GTX 680 AMP! edition will downclock itself in order to match the clocks of the reference card. What if I overclock the reference card but can't go as high as the AMP! card?

Most non ref OC cards arnt overcloekd by that muhc, most ref willl OC to that standard and beyond, just with a bit more heat. Just set the same clocks, dont even set voltage unless neccasery, set the clocks to the same.
