One vote for the Opty 'cause I don't like that AsRock mobo. The Opty OCed on your mobo would perform better than the C2D because the AsRock can't be OCed too much.

Changing the mobo into an ABIT AB9 would make me look towards the E6300

I would say, save some money and get an opteron 165. You will get amazing performance and not spend a boat load of money

and i vote the C2D....the e6300 at stock is actualy just slower than the FX-62...even a modest overclock will have your E6300 faster than any AMD current processor...IMO if anyone is doing a new build..it would be silly not going C2D.
but if you are just doing a little upgrade...it would be better for if you go opty 165....basically if your on no particular budget id go C2D..if your on a bit of a budget..its all opty!

I agree that that ASRock mobo isn't a really reliable choice.

My suggestion is either:
#1 - Sock away the extra money you'll need to get a decent mobo (Gigabyte GA-965P-S3, ABIT AB9, ASUS P5B Deluxe, or Intel 975XBX to name a few possibilities) and some decent memory with that E6300.

or #2 - Go with the 165.

Overall I would suggest doing what you have to to do a proper C2D upgrade... you'll get a LOT more out of it in the long run. The 939 platform is getting quickly dated, and good DDR memory is getting more and more expensive. 2GB is fast becoming the norm for gaming rigs, and with good reason.

Doing a partial (read that half-a$$ed) upgrade will only cause you many problems, and never let your CPU and other hardware really show their potential.

I'd get the C2D if you are building a new build and save up and save up some money for a better mobo. I'd recommend the P5B Deluxe.

If you are starting fresh, then choose the e6300. However, if you are upgrading, then go for the 165.

the opty would be a much easier upgrade, and a lot less expensive (I love mine) but if you can afford it the core 2 is better in the long run

Agree with that.
You could just get the cheap C2D MB and upgrade latter on when you have more money. No reason to get everything in a single buy. You can run stock for a while and still be able to perform close to highly overclocked AMD systems.
