well the 4200 has the 1mb l2 cache while the 3800 has only 512 but the 3800 seems to be a favorite with overclockers cause of its low price and ability to hit 2.5 2.6 problem free on almost any decent system

They are both based on same underlying processor. However, they are binned different based on quality. In theory, the X2 3800+ should be able to overclock to at least x2 4200+ speeds. However, this is not guaranteed. The X2 4200+ should be able to overclock higher than the 3800+ due to higher quality but this is not guaranteed either. In terms of price/performance, 3800+ is better but 4200 wins in overall performance.

Quote:
This does not, however, mean that the lowest models are equal in quality to the faster models. If a Pentium 4 1.6A reached 2.4 GHz, but a Pentium 4 2.4B (Northwood) reached 2.7 GHz with similar effort, the 2.4B wins the performance comparison even with its "poorer" 12.5% overclock. The lower-priced model's greater room for improvement made it a great value, but the higher-quality model's higher achievable speed made it a better choice for extreme performance fanatics.

Both X2 3800 and 4200 has only a 2x512MB L2 cache.
