The answer is no, they are about on-par.

True they are on par with one another, but the 6800k is coming in at a lower TDP, lower overall voltage, and OC's quite well. Also, you get a iGPU that is respectable. It's only competition is the balls expensive Intel. Also in xfire with a 6670, it isn't half bad. But my advise is to wait for Kaveri, or do like me and buy the Athlon 750k as a fill in till kaveri. I read the review on it, it is a pretty great budget chip, for less than a 965

- He's not using the iGPU
- clock for clock the overclocking isn't good
- he wouldn't be CFing 6670s

So, why would he want to sidegrade?

This is true. MSI have not had a good reputation with thier motherboards when using an 8 core cpu. Are you cpu limited or do you just want an upgrade? I would say that an FX 6350 would be a better option unless you need 8 cores.

Umm, not trying to knock you, but he did state he was budget limited, and did you really read my post? I stated to the OP that the 6800k is comparable to a 965, with lower TDP, which means lower voltage. The 6800k also directly xfires with a 6670 boosting graphics. But maybe you missed that as well. I also mentioned the Athlon 750k, which for a budget chip, lacking L3 cache, cheaper than a 965, and holds its own against a 965/955/fx 4100 and even the 5800k in compute performance, without an iGPU. Oh and it is unfairly cheap at $84. Add in an MSI 85x FM2 motherboard at another $80, and you have a great little OCing chip. All for $164.00 to your stateside door. Factor in if he lives close enough to micro center, he can save even more money. But hey, I must be a mushroom.

OP, everyone has opinions, read what they have to say, read reviews, and follow your gut, and get the best bang for you're buck. Read my post about what I am building, for right at $600.00, a ground up fun system, while waiting on Kaveri. It is the Athlon x4 thread. When all my parts come in and it gets built, I will run the crap out of it for the sake of science... For the forum... Muahhahhahhahahhahaha!

As someone has mentioned, waiting for steamroller would be a good idea also. You could buy a decent motherboard and cooler and then overclock your 965 as far as it will go. Atleast then you will have a solid foundation for upgrading. unless you are running some cpu intensive programmes then i dont really see much point in upgrading yet. a phenom ii x4 @ 4ghz+ still has plenty of power for most games.
