just a few questions:
1. why the define xl? you planning on a ton more drives in the future or watercooling? its a sweet looking case but just asking why so big if not needed. but if its a monolithic build with expandibility in mind then good to go
I think the phanteks will be fine. its a great high end cooler. I would possibly suggest though that you make sure to investigate how easy they are to install.
I have the noctua nh-d14 and its a beast cooler with similar performance to the phanteks. I personally trust noctua a bit more bc of thier customer servide and build quality. (phanteks is known to have a few bent fins etc every now and then)
if you diont like the noctua colors just get some corsair sp 120 or af 140 and use them on it for better look if you'd like
Motherboard is the highest price gigabyte board and probably great, but 8350 is newer board so you may need a bios update to make it work. asus sabertooth r 2.0 or r 3.0 are fully ready for the 8350 so you may want to do a spec comaprison and reviews compare on newegg
unless your doing some serious specified work or networking then the pro version of windows is not necessary really from what i understand.....basically if your just doing home usage and you dont already know you need it, then likely hood is that you dont need it. it really only adds extra functions to networking and virtual machine situations etc.
performance in gaming or running programs will be no different. all thats added is extra features not performance. hope this helps
