I think one is 89w and the other is like 95w? something like that. More heat I would guess, more to cool.

And why aren't you thinking about OCing?

Also 64 bit really only matters if you are running a 64 bit OS or a program, and I don't think I really have seen any programs use 64bit besides Windows XP x64

the optron is also a 64 bit one. I do plan on loading linux 64bit as well as vista 64 bit when I can get ahold of it.

really if you don't go crazy with your volts, and watch your temps, OCing doesn't pose that much of a risk.

The only version of Vista you will want to run is the 64-bit version. As soon as (a stable version of ) vista comes out, we will see a noticiable difference.

The 3700+ is a great choice for someone who doesn't want to go C2D. Even if you don't plan on any extreme OCing, you should at least runn it 200MHz higher because then you have 1MB L2 @ 2.4GHz rather than 512KB L2 @ 2.4GHz.
