I had those LGA771 quad Xeons run at 4.8 GHz so if you can't go 40MHz up than there is definitely something wrong with what you are doing.
And what are your OC settings? What hardware are you using (fill the signature rig)? How are we supposed to help you if you won't provide us with basic info? If you just want to complain than go somewhere else.

This could be your RAM's fault (bad module / bad overclocking modules / too tight timmings / too tight performance level / not enough voltage), or FSB strap on wrong setting and so on. Also running DDR3 on old chipsets is a tricky thing.

It will work but win8 won't boot without modded BIOS-added microcodes (read OP).

I have a Gigabyte P45-based 775 motherboard that took a 771 xeon without any microcode updates or anything and it runs windows 7 perfectly happily as if it was designed for it. Your Mileage May Vary though.

Thanks, here she is can't do much now waiting on some 8gb 1600 Corsair Vengeance before making any progress, bought the cpu and mother together which socket was already modded but the previous owner didn't know much and couldn't confirm.

Just got a GA-EP45T-UD3LR Rev1.0 and popped in the X5450 I had in my Asrock G41C-GS and was delighted that without touching anything I could get 3.4Ghz without touching anything. All was good.

Until,,,,,,,,,,,,,,,,,,

Ran Prime 95 (small fft) and failed. No problem, pop everything back down to stock and run again.

Fail. At stock!!

Weird part of this is it doesn’t matter if I over-clock, bump voltage (I have been up to 1.26) or run everything at stock/default 3.0Ghz. Prime 95 freezes at the 9:15 (give or take 5 seconds) mark running the small fft test.

Temps are GREAT. the mobo came with a AIO water cooler and even with the TJmax at 100C in realtemp my temps never exceeded 60C. Setting the TJmax to 85 lowered (obviously) the temps to never exceeding 46C.

From what I have gathered small fft test is for the CPU. Isn't it odd that the freeze comes at the same place every-time?

So am wondering, would running the voltage even higher help?

It's freezing / locking-up you say? I have similiar problem with GA-EP45T-UD3R, but it's only doing that for me with FSB above 450Mhz.

My guess would be that either your RAM is not (fully) compatible (despite the fact that small-fft test isn't RAM intensive) or some auto settings are seriously messed up OR the board has other indirectly related issues f.e. RAID problems, overlapping mem addresses, etc.

So... What RAM do you have and how many sticks? My first move would be to increase MCH+RAM voltages, then loosen the timings and/or underclock RAM. Sadly this hasn't helped me with higher FSB, but considering you are running it stock this has high potential for solving your problems.
