I am building a PC soon. I saw a 3.8Ghz Athlon 760K and a 4.1Ghz black Edition. Is there any other differences besides price and ghz? Do they both overclock?

Both are Unlocked. The black edition is factory overclocked. No difference at all.

There is no black edition there is 760K period and the K stands for Unlocked. So yes it overclocks as long as you have at leased a 75a motherboard 85x and 88x are top end motherboards and will far out perform any motherboards below such as 75a ect.
I have both gigabyte's 85X-up4 and 88X-up4 and am able to do 5.2Ghz with my 760K's on both no problems but run at 4.8Ghz as I run my Pc 24/7.
If there is a listing for a black edition it is a typo or error in there listing.
I would say go for the 760K and dont look back. Also dont fall for all this intel is faster mumbo jumbo as this is only true with stock clocks. AMD scales very well, better then intel in fact and a 760K starting at 4.4Ghz will destroy any core i3 and once you get to 4.6Ghz - 4.8Ghz the 760K will wipe the floor with pretty much all core i5's as well. If your wanting to compete with core i7 its never going to happen though unless you go something like FX8350 and overclock the snot out of it.
But Am3+ is a dead platform and I hear Fx cpu's are coming to Fm2+ so you have a nice upgrade path if you go 760K and a 88x motherboard.

What do you say? Both are the same processor: 3.8GHz is standard frequency and 4.1GHz is Turbo Core frequency, there isn't two different models...
