Is this idea practical? Or would this overheat?

My buddy wants to build a totally passive computer that will be doubled up as a HTPC.

Just as an experiment, would it be possible to build a all passive dual core Haswell pc?

Parts:
Core G3258, how much of an oc is possible? (would probably want to delid this chip)
No Fan CR-95C http://www.nofancomputer.com/eng/products/CR-95C.php#
8 or 16gb of DDR3 (would need low profile RAM to do this)
750ti passively cooled
Z97 motherboard or a cheap Z87
SSD, probably Samsung or Crucial

Would need maybe a 400 watt passive psu, ideally with high efficiency

Any recommendations on a case? Keep in mind that the case must have enough clearance for the larger passive cpu cooler.

Would this idea work or would it overheat, requiring low speed 1000rpm fans?

Seems to be able to handle a slightly OC'ed i7 960 on Prime at 4 threads. That's why I think there may be some OC headroom in the G3258.
