i have an old 40 gb hdd lying around and i wanted to no if i could install and run linux off of it and run xp off hdd#1? if so plz tell me how

yes you can what flavor of linux were u planning to run. i know its very easy to do with mandrake. when installing just select the second drive to install to and ur money.
