i had the same problem, if you got them from newegg make sure your product code is right, newegg accidentally sold me a batch of phu1's instead of phu2's which arent meant for dual channel mode.
Check cpuz and if BOTH of your sticks in spd say phu1 call up newegg and get an RMA.
DID newegg replace it for you?

but im running an e6420 @ 3.2ghz OCCT stable @ 1.39v - i put my vcore to 1.5v turn it to 3.4 or even 3.6 and i get bsod errors.
at first i thought it was my cpu hitting a wall - so then i ran my cpu at 3.2ghz and upped my ram to 900mhz and then 1000mhz and I would BSOD still. i used voltages from 2.0 to 2.3 with no worky =o(
Think it could be my PSU? or would it be attributed to ram? I can get it to post at 3.4ghz with ram at 850mhz and the best I had occt to run it crashed right at 2hrs with 1.45v. after 850mhz on the ram and it doesnt post what so ever - no matter what speed the cpu is at.
