Well considering you are using a 32bit CPU you can only use the 32BIT version of windows Vista. You need a 64bit compliant CPU for 64bit vista.

Vista Ultimate has alot of bloatware. Vista Home premuim is actually best for buck

Ok then. With that cpu, you definitely should go with a 32-bit OS...but I don't think any Vista version will run on 256mb of RAM. I'm surprised you're running XP with that little RAM.
