You don't need the best of the best to overclock, in fact for $40 you can get a GeminII and 2 120mm Rosewill 78CFM fans, which will cool only 2-5C less than TT120 and TR-U120X. In fact, depending on airflow, I bet you could set up case airflow so that the GeminII cools the same!

or you could just get a Scythe mine and fan, those are really nice, i have seen very good overclocks achieved with acceptable temps.

Scythe ninja is better than the mine, if you can find it and a fan for under $40 (actually i think you can) then get that

I'd really save up and get the Ultra-120 Extreme, it will be well worth it just incase you ever started to OC

i would also get the freezer 7 pro.

i mean, even overclockers use it!!

on hardforum i have seen ppl getting e6400's from 2.13 to 3.6 stable with nothing other than a S3 and Freezer 7 Pro.
