want to upgrade my pc. Help needed for good setups

Ok what is will upgrade is

CPU
Good air cooling for CPU
Motherboard
RAM if mine is not that good
PSU if more power needed

I care less if the motherboard will be sli or not. I am not planning to use sli and probably will never use it. I am planning on overclocking though so I want to know if the air cooling will be enough for an Intel CPU.

Forgot the most important thing. I am willing to give about 1000 euro. I also want help on the choice of companies that I should choose.

cooling: thermalright ultra 120 extreme
motherboard: asus p5b plus or p5b deluxe
2 GB gskill hz ddr2 800
your psu looks ok, but if you want a new one get a silverstone olympia 750w (54a on 12v rail)

Is there the ability to mount 2 fans on the ultra 120? I do not know it that well. Also about the PSU i do not really want to replace it just worried if the PC will not have enough juice.
