Need help before order parts !!!

I am going to order parts within next few days. Here are my list and hope your guys shred some lights.

1.Mobo. Gigabyte 965P-DS3
2.CPU C2D E4300. ( or E6420 ?)
G.Skill 800 HZ DDR2 2GB (what’s up with Item#:N82E16820231098 only $80.95? What’s the difference? Can be the problem for OC?)
3.Video card. EVGA 7300GT. (Only 15% of time play Game)
4.HD. WD 160GB SATA II. (May get the RE instead of SE)
5.Case/PSU. Raidmax Scorpio with 420 PSU. (I don’t think I need 500W based the list)
6.Need an add CPU cooler? (Don’t think the stuff inside the CPU retail box is good enough for OC.)
7.DVD/WR. I have it already.
8.OS. Stick with XP pro. Don’t think this is the right time for Vista.

Does it good engouh?

Do I need a CPU cooler for OC?
For an OC, you will need a better CPU cooler, and DO NOT use the PSU that comes with the case. Even though you will not have any high-powered GPU's in it, Raidmax PSU's tend to die quick, and take parts with it.

I am thinking to move up to 7600. Is the video card a factor for OC? If so, then may be 7900 or 8000x.
No, no, the video card is totally separate and won't affect how the other components overclock. Just curious, what will you be using this computer for, (other than the 15% gaming) ?
