I'm attempting my fist Overclock and I was wondering is there some kind of program that would shut my rig down if I've pushed it to far and keep it from being fried?

I don't think there are any programs like that...

As long as you don't go crazy with the vcore (keep it under 1.4 to be safe) you probably won't fry anything, just make sure you keep your temps under 65c load. Try coretemp for temps and orthos for stability testing.

I have a 64 bit OS I dont think coretemp will work on my machine. I just tried it and it displayed one error message after another again and again. I had to delete it.

Is there another temp program you know of?

TAT, although I've heard it isn't accurate for c2d's. It's never off by more than 2c for me.

Or speedfan, which is usually WAY off for me, it even says my fans are at 150k rpm's.

edit: I found another thread about 64 bit vista and temp monitoring.
