OEM means just the product alone without a manual or box.

OEM means it is just the processor. And has no box or anything else.

Anyways,
you should try it since it is a bit higher. It should work.
Bios update, you have to go to your motherboard's manufacturer's website and download the right bios update.

Quick question: What if he has a Dell and the BIOS does not recognize the proc?

its running way smoother, got an increase of 60 FPS in game, everything loads faster.

thing is i ran dxdiag to see if it updated from 2.4ghz to 3.00 and it's still on 2.4, even tough i'm sure it recognized becuase everything is faster.
