This is just a double-cjeck, but have you done this:

Power down the pc, and turn off the power supply
remove the motherboard battery for 5 mins.
Put the battery back in and power on the power supply
Hold the power button to turn off your pc
turn it on and wait with a black screen for 10 minutes
Pc should reboot (i think the pc has to copy all the files it lost from the battery removal)
Turn on the pc and wait for a response.

If that doesnt work then make sure you put your memory back in correctly, my system wont boot if the memory isnt working alright. Take the sticks out and put them in all the way (both sides will click) in DImm1 1 and dimm3 if you have two sticks.

DarkNite Well gave that entire test a try and still the same issue. Power on for 5 cycle off and again..... I even tried to power the MB out of the case to make sure same problem. So at this point I think the MB or cmos is fried. RMA and new mb on the way. Stay tuned.
thanks again all for the suggestions. I think I have a Lemon MB here.

Just make sure you did everything he said reset the bios etc. I have the same mobo. and that is exactly what it does after you put in crappy settings . So for example when i screwed up mine it would turn off when i said yes to saving the bios then turn on for a few seconds then off and stay off. Next when i pressed the power button it will boot but with the stock settings again. I dunno maybe its dumb but dont want to see you wasting time sending a mobo away or something. maybe try the gigabyte ds3l official thread see if anyone knows.
To me reading your original post it sounded pretty normal to me being the only one with the same board. fact is you cant get it started and if you really reset the bios by removing the batt and changing the jumpoer it should boot.

Btw i have never heard a peep from my Mobo i dont think there is an onboard piezo or whatever so yeay it doesnt make any noises
