to be honest, I would even take the 9600gt over a 8800gts 640, if it were a straight trade.

your prices are a little off, 8800GTS 512 can be had for 214 after rebate, and the 9600 can be had for $150.

I would take the trade + cash. Since you said 9600GT's cost $209 in Bahrain that would mean you'd be getting around $279 for your G80 8800GTS 320MB. Which today is a very very high price for that card (especially in the states) so you'd be making out very good. Also from Linskingdom's link it looks like the 9600GT is at least just as fast as your card if not faster at times. Also pluses for the 9600GT are the 65nm process so it should overclock better, run cooler, and consume less power than your card.

hmmm actually he didn't offer me 9600GT + $70, he offered me $280 as 8800GTS 320MB still sells here for $330 new
I did say he offered me a 9600GT plus cash to save myself from people recommending 8800GT or 8800GTS 512MB as I don't want to spend that much

Definitely take it, the 9600GT is better than the 8800GS. The GS is comparable to the 640MB G80 GTS. So you get the best deal.

If it was an 8800GT I'd say no but the GTS and 9600GT are pretty comparable...plus your getting cold hard cash. My 2 cents.
