I would say use the new fan/heatsink combo that comes with processor. I don't know how often AMD refreshes their coolers, but I think that there would be a major difference between a stock single core cooler and a stock dual core.

Also, do you have any overclocking options on your motherboard? If so you could just get the 2.2 Ghz chip and OC it to 2.6. I've had my 2.1 up at 3.0 before, so it should be attainable if your BIOS supports.

Nope, I don't think so and from the AMD forums, I heard my mobo sucks for OC'ing. Well my question about the cooler is should I get this with a fan, or this without a fan.

From a personal standpoint, I'd say the processor with a fan. I just don't think your old heatsink/fan combo would be good enough to keep the thermals down on the 2.8 Ghz chip. if you want to spend less to get the faster processor, you're going to want to buy a new heatsink for it, otherwise you could risk running your thermals too high.
