Phenom 9850 BE system freezing

I just built a new system around a 9850 BE and I've never had this much trouble in my life. Sometimes the system works like a charm, giving decent benchmarks and so forth. Stability tests show no irregularities. But, other times, I can be doing the most mundane task and it will just lock up. No blue screen or anything. I figured maybe the temp was getting too high so I started monitoring that, with no positive (or negative i suppose) answers. The chip is a cool 25 degrees, maxing out at ~40 during benches.

Any help?

Specs:
CPU - Phenom 9850 BE
GPU - Visiontek 3870 "overclocked edition"
Mobo -DFI Lanparty DK 790FX
Ram - GSkil 2x 2GB
OS - Vista64
PSU - Thermaltake 750

Steps Taken:
Killed Cool 'n Quiet in bios, locked multiplier to 12.5 in bios to prevent stepping
flashed bios with most current available
newest catalyst drivers
Windows Mem Diag Tool (Vista tool) in extended mode -> 0 errors found (2 hour test)
memtest86 test 5 & 8 - ~10 hours each -> 0 errors
HD - chkdsk /r & WD Lifeguard Diag on bootup -> 0 Errors

Fix Action - retrograde from x64 to x32

Well, I don't know much about your platform, but for Intel there is a setting that can disable this "multiplier downshifting" in the BIOS with a setting called C1E...

Yeah it drops your cpu clock when it's not doing anything. If you start something cpu intensive it will kick it back up.

make sure cool and quiet is off mate.. might help and disable cpu downclock.. just my 2 cents

Okay, I guess that wasn't helpful then. Bench running jumps it back to 2.5 GHz so still no input on what might be causing the instability. I finally got the system to crash with a blue screen (finally? how sad is that) and when it came back up windows said there was a problem but didnt decide to tell me what it was... @#%.

Just disable AMD Cool 'n' Quiet in the bios. That appears to be your problem.

Cool 'n Quiet disabled, BIOS hard coded to 12.5x, stability still crap. I can't get the system to run more than 5 minutes without freezing. Any more suggestions? Got the proc off newegg and noted when checking out that they have a 5 day return policy...
