Not always true. it may not be your processor

Ran the widows mem diag, which took about 2 hours, and came up clean. also found out that there is no x64 version of memtest...

guess all I can do is sit here and wait for another blue screen.

Credo, memtest86 is ran off a CD after POST and not within Windows. Please go here to download it: http://www.overclock.net/downloads/1...memtest86.html. Download the .iso and burn the image to a CD. Set your First boot device to your optical drive. When you get into the diagnostic screen I believe you hit "C" for configuration. Go to "Test Selection"(if my memory serves me right) and run test 5 first and then 8. Run each one for at least an hour.

Let us know

Good luck buddy

I know this is pretty stupid but did you format your hd & install your OS all over? You didnt say that so just wondering. Its pretty much an automatic to format after a new MB & CPU.

What type of memory (DDR2 800 or 1066) and is it running at 800 or 1066?

The reason I ask is my sytem is unstable running at 1066.

Just as a matter of interest which Power Supply Unit do you have?
As an underperforming PSU can cause random lock ups and freezing.
As has already been mentioned you should test your RAM using Memtest and to stress your CPU I would use Prime95 also known as Orthos, whether either have a version that runs with 64 bit Vista is a whole different topic.

"A clock interrupt was not received on a secondary processor within the allocated time interval"

This crap keeps happening. Image attached.

I'm pretty sure its either CPU, Mobo, or CPU/Mobo combination.

Credo, please see my above post. Did you run memtest86 on your memory yet? If your 9850 is overclocked then it's a possibility you do not have a stable OC.
It would be extremely helpful if you could include your system specifications in your signature. You can do this by going here: http://www.overclock.net/specs.php?do=addsystem

Good luck
