I'm looking at $135+ for a C2D as opposed to $50 for this one..

For an HTPC when using that 780G board, you do not need a graphics card. The onboard on a 780G will play all of your media, and play it well. I have one of those exact boards in my HTPC and it decodes 1080p material on its own, so you can drop the 3850. Also, you don't need that powerful of a processor. maybe a 4000 or so. I've got the 2.1 Ghz chip, and for only playing media files, even that is a bit of overkill.

there is a good intel cpu, its cheap and it OCs well.
theres no point spending $50 for a cpu, buy a half decent one like the one i showed you there, but if you do that you will have to change your motherboard too.
with this sort of thing its worth to go just that bit more for a better cpu, for future upgradeability intel is the better choice too.

but at the end of the day its up to you

....ahhhh... it's a HTPC.... All of your points are now null and void.

Any 1.6GHz dual-core with a full hardware accelerated video card will work. With HTPC, you generally DOWNCLOCK.

I agree with h33b, drop the video card since it is not need AT ALL in a HTPC. The onboard HD3200 is more than enough. Also, you might want too look at the Western Digital Green Power GP hard drives. These are 5400RPM drives in the 3.5" form factor. They are the quietest desktop HDs on the market.
Once again...

Good info guys, you've saved me $$ already. So I'll dump the GPU but keep the CPU. I see a 1.8 GHZ for only a few bucks less, might as well get the 2.2.

Right, but it's not the MA74GM, it's the GA-MA78GM. This is the one with the integrated Ati HD 3200 graphics that gets good reviews for HTPC. Integrated also means more quiet.

Also, have you thought about an aftermarket HSF? If you downclock the CPU and drop the voltage to 1v, you should be able to run nearly passively.
