Ubuntu Freeze/Crash now Kernel Panick and Memtest Errors

So I've been working on overclocking my sig rig. I had it up to 3.6 stable (no testing my windows partition has a virus so have to reinstall). I loaded up ubuntu, checked my temps they were 28 idle and 58-63 load (which i believe to be alright).

So I started up folding and was doing well and watched it for about an hour and the temps were holding at about 62. No crashes or lockups. So I went to study for finals and then bed and woke up this morning to my computer being on but no display on the monitor. So I do hard shutdown let it sit for like 20 min and boot back up and now I get the Kernel Panick Error and running memtest I get thousands of errors. I believe this has to do with the symbol table etc that is held in the ram.

Any input would be great. My only choice right now is to boot from live cd and hope fdisk can clean up the errors. or i need to do a reinstall

EDIT: Memory Timings are changed from 4-4-4-12 recomended to 5-5-5-15 both with 2t. I don't see this as being the issue but then again i don't have a great understanding of the memory timings and how they effect everything.

Well if you're getting errors in memtest... Then you just plain got bad RAM, right?

not necessarily...I powered down for 20 min and booted back up ran memtest for 3 passes not a single error and kernel was out of panick

the only thing i coudl think of was that the symbol table on the ram had errors until it was remapped when the system fully rebooted. During the down time i also removed the ram and let it sit as well out of the mobo.
