You don't have to install XP first, that is the trick, I'm writing the Tut later today. All you need is the Upgrade disk.

OEM licensing is different from retail.

OEM allows it to be installed on one machine. A definition of machine isn't clear and MS uses a secret formula to determine (based on components) what comprises a machine. A motherboard swap will trigger a check though. Retail allows for a single install instance at any given time. This does allow the license to be transferred to other machines.

It's not wrong, its the general defention of what a OEM product is.

Here is what google define said about OEM:
Quote:
Original Equipment Manufacturer. Provide the original product design and materials for its assembly and manufacture. OEMs are directly responsible for manufacturing and modifying the products, making them commercially available, and providing the warranty.

Original Equipment Manufacturer. A company that sells products (including software) under its own label that include technology licensed from another vendor. The original product name may or may not be retained.

Saying that OEM = Retail without packing is not the general definition.

No you don't have to install XP but when you buy the upgrade you agree to stop using the previous copy of Windows on that machine. That is why it is cheaper.

So does the OEM allow it to be installed the same way the retail version is?

In other words, side by side what's the difference while installing it?

The difference is that an OEM version is locked to one motherboard and one motherboard only. Unless you call microsoft and tell them your board has died and you bought a replacement, then they'll give you a new key for free.

Also, with the OEM version, you are your own tech support. In other words, the person you are installing it for will have to contact you for tech support and can't ask microsoft.

Thats the only difference.
