Save some money on the RAM:

Not much difference between DDR2 1066 and DDR2 1000, except the price

At this moment, I highly recommend to get a Q6700. Yes, it's a little more money, but the current bins of Q6600's aren't very overclock friendly (I've heard people having trouble with 3.2GHz), while the Q6700 is still a great overclocker. Savings on RAM and PSU will allow the Q6700 to fit right in the budget.
Q6700 is $260 @ CompUSA, and 10% off if you pay with PayPal, max of $20, so ~$244 shipped.

yep. That's definitely what I would do. You don't really *need* RAM that's that fast anyways. The Q6600 has a multi of x9, while the Q6700 has a multi of x10. To obtain 3.4GHz on a Q6600, you need an FSB of 378Mhz. You can run your RAM on a 4:5 divider in favor of the RAM, and even then your RAM will only run at 378 x 2 x 4/5 = DDR2 945 speeds, which isn't even the stock speed of the RAM. With the Q6700 it gets even better... FSB for 3.4GHz is 340MHz, and you can run a 2:3 divider with RAM at DDR2 1066 speeds (which is almost stock).

@ Pibbz: well, good DDR2 800 RAM isn't much cheaper than the G.Skill DDR2 1000 kit I linked (heck the comparible G.Skill kit in the DDR2 800 flavor is actually the same price.... no reason to get that over DDR2 1000).

its fully updated now, i went with the zalman because i beilive it will work well in the antec 900 case, plus i have a friend that uses them for all his OC needs.

to the OP, i am using an older 300GB SATA drive with a 9.0ms avg seek time, if i upgrade form that im going to be looking for probably one of the 150GB 4.6ms avg seek time (i dont use alot of space on my HD so the extra money can be put towards the faster seek times)... or i could just wait until everything is "solid state or go home"
