You can probably even get away with stock HSF on a mild overclock to 2.8ghz if you need a bit more speed. You can always set the affinity, so the least used cores will be utilized by the processes that you want.
Judging from your sig, you like to keep computers for a bit of time. The slower Q6600 will better served you over time at stock voltage, than a 4ghz OC E8400, which will require more voltage to maintain the 4ghz OC.
