That motherboard has issues with stability when using 125W CPU's. The K9A2 Platinum is much better, but is about $189 which is just outside your price point.

OCZ is a good name brand its retail price is 99.99$ i really wouldnt consider that cheaping out... it looks a solid psu to me man

Yeah, the 5000+ should be alright, however i'm not sure how much its watt usage changes when overclocked. I was just giving a heads up in case you planned to upgrade to a more beefy processor soon.

I ran PC2-4200 on my motherboard without any issues, and with AMD systems it is mainly the Processor that determines the ram compatibility. You should be fine running 5400 ram.
These are the ram specs on MSI's site:

Main Memory

• Supports Dual DDR2 533/667/800/1066(only for AM2+)
- 4 DDR2 DIMMs (240pin / 1.8V)
- Supports a maximum memory size up to 8GB.

I decided to go with tha platinum edition of my mobo becuase i have plans to go cross fire and this mobo will allow me to use up to 4 cards (wich is a long way in the future for me ) but more importantly its 16x/16x on a 2 card set up vs a 8x/8x on the non platinum
