Your system is well balanced, upgrading just the processor is not really worth it unless you add more Ram and a new graphic card, but then it would cost a lot for not that much differences.

Honestly I agree that you should rather buy a nice sound card.

And perhaps a LCD, with your system you should be playing at 1920x1200 so if you don't have a nice 24" or 27" go grab one

Also you should consider upgrade to vista for DX10 games (or put it in dual boot with XP) and in that case it makes senses adding some RAM.
(XP can't allocate more than 2go of RAM to a single apps, but vista can).

I think it is time to look at Vista as an Upgrade DX10 is nice! So Vista 64bit and RAM... Remember that Vista 64 does not have the driver/software problems that XP64 does!
