Motherboard and Heatsink Help

Looking to buy a good motherboard (for my older computer)
it has a micro atx so it needs an upgrade
anything under 110$ with good OC qualities
also I need a heatsink for my
intel dual core 1.80ghz(LGA 775)
overclocked at 2.2ghz with stock cooler

If you're not tied to the mATX form factor, the Gigabyte GA-EP45-UD3P is probably the best DDR2 board on the market at the moment. It's in your price range depending on local deals and if you can't find one for the price you want the *UD3R is one step down and has just about the same O/C ability - although for the extra 10-15USD I'd say go with the UD3P...

If you are tied to the mATX form factor, I'm not quite sure but I know a good low-profile heatsink (Scythe Ninja Mini) that I use for my HTPC that fits into an mATX form factor case pretty well and does a good job for my AMD quad core. I don't have much of an O/C on that processor but it's in a torture case by sitting inside the same enclosed wooden entertainment cabinet as my PS3, XBOX360, Dish Receiver, Onkyo A/V Receiver, DVD Player, etc... (i'm so cruel) ;-p

For my GA-EP45-UD3P I use a TRUE120 but that'll end up costing you another $55-60 USD just for the heatsink alone. ;-p

That looks good too, but I'm guessing most people will say go with the Gigabyte. I don't really know for sure though.
