I would go with the opty because of the 1mb cache advantage.

Yes it is 64bit. The overclocking of the 146's have been IMO impressive.

Overclocking Opterons is hit or miss. Miss, you get about the average San Diego/Venice overclock, in the 2.7-2.8GHz range. You hit, you could get a chip that'll do 3GHz or more, but it's luck of the draw unless you go out to eBay or whatever and buy a specifc stepping.

the 1mb cache is the winner, i think even if it didnt oc as well- i would think anyways (ofcourse im kinda partial to optis)

They both have the same bus speed (provided you're looking at Socket 939 chips), 1000MHz two-way Hyper-Transport.
