21C? That's a good temp, considering it's overclocked. Where did you check the temp? If you dled a program to check it, go into the BIOS and check the temps there, cause programs sometimes display wrong readings.

that temperture comes from the BIOS Cpu-z Everest and the soft that came with my SNF4-2 Chaintech mobo. it seems to be too low with AS5 Thermal compound and http://www.tigerdirect.com/applicati...?Sku=T925-2011 it just doesn't seem right

Indeed, that temp does seem low... especially for the voltage. Can you run that same OC w/ only 1.4v? My 3200 venice goes to 2.4 on stock voltage... I'm at 2.6 w/ 1.5v

ASUS boards tend to show lower temps than most boards. I had a P4 Northwood C running on an ASUS P4P800-Se, and it showed about 18-24 idle temps, even though I knew it wasn't really possible. But it showed my Northwood at about 30 idle on my Gigabyte. So your temps are probabally in the 28-35 C range.

if you read my first post i said that it is not the comp listed below. this was on a Chaintech SNF4 Mobo but i suppose the same issue is possible.

Try using a program called 'Asus Probe' to see if that temp is accurate. Its a nice little program for other reasons too. : )
