On the Start Up tab that starts with rundll32? (There are probably a few - list them.)

This error basically means that something caused an exception. It could be a turd entry in startup - a bad application - bad driver - corrupt Windows file.
I have never seen Windows haul off and just start on its own. (I am better a new driver package - or combination of startup items..
Maybe something is crapping on appwiz.cpl (which is the control panel icons.)
Your SP2 install - is it a CD or a download? Could just try removing old appwiz.cpl, extract a new one in and re-register it.
