OK, I replaced the CPU with my old Phenom II 920 with C2 stepping.

runs stable in prime95 at stock speeds, no freezes or other strange things....

Does this rule out my MoBo is broken, or could this still be a compatibility issue?

Answer: Mainboard

I changed it back at the store today, the new one is running stable with the same CPU,has lower temparatures and is crash-free @ 3,7 Ghz as far as I have tested by now.
