Is it worth it? Mobo+case swap

As you can tell from my system list below I have a 3.0 Intel Northwood Core CPU, that my mother bought a good 2 years ago from Dell. Its got horrible cooling, one 120mm exhaust fan, and passive heatsink for the CPU, a crapy Dell mobo, a worthless 250w powersupply, pft 2 years no problems. So Dell Aint to bad hes just cheap!

That was the bad.

The Good, I got 2gigs of PNY DDR400 Ram (3.0-3-3.8) Timings, no, not the lowest of latencies but, not too bad.
ATI Radeon X850PRO AGP Video card, agian not great but ok.
120gig SATA HD.
A DVD Rom
and A Single Layer 16X DVD+RW drive.

My Question is, is it worth buying these parts right here from Newegg just so I can decrease system temps, and possibly overclock this old 0.13ug process CPU to at least a 3.6 (20% Overclock)?

I. Asus P4P800 Deluxe
II. A good attractive case
III. Antec True Power 500w PS
IIII. Zalman HSF copper cooler

Can a northwood handle 3.6 on Air, and be stable?
What about 3.9 on air? Will I really be sacraficing a signigicant amount of CPU life at 20% overclock? What about 30% overclock? All this on Air as I am sure this old CPU does not deserve anything past air cooling.
Any and all opinions are welcome, bombard me with facts, lemme know whats up. Thank you all for your help. =)

I say go for it my friend. It will be like a new computer. 3.6 is an attainable goal. and if you wish you can overclock your video card using ati tool if you havent already.

Northwood chips are very overclockable due to the low temps that they operate at. If you can provide the revision of the chip it would be easier to guess its potential

It will be something like C1, D1 or M0

I currently am just about to install a 2.4ghz Northwood M0 chip which can easily hit 3.5 on air with some decent cooling and 4.0ghz + on water/phase

Totally worth it, it will give you a performance boost but be cheaper than upgrading the whole system right now.

That's a great board choice, supposed to be a great OCer for the 478 socket. I'd recomend a Big Typhoon for the heatsink as long as you're going to get a case large enough to take it. It's upgradable, unlike the Zalmans, and it's only about $50.

here's a comparison, i have:

p4p800-E deluxe (865PE chip set)
3.0 prescott @ 4.055GHz (vcore = 1.575V)
zalman CNPS 9500 cooler

My temps hit no more then 53C under full load.. the Zalman cooler made a HUGE diff over stcok i know the northwood is diff thermally so these temp are not really significant but, I was hitting the same temps with only 3.5Ghz OC and no Volt increase w/stock cooling. mobo has great OC features too.
