The V4000 fits the gainward since the Palit is exactly the same as the gainward. Remember that Gainward is a subsidiary of Palit so their cards are exactly the same non-reference model. The only difference they had about these cards are the color schemes.

I just ordered two Accelero Twin Turbo kits for my two Palit GTX460's (1GB - Sonic and Sonic Platinum). Do I need to worry about the wattage? I noticed after I ordered that the Accelero is rated at 120w and the cards are rated at 160w? I also notice that this cooler has a square heat plate whereas the Nvidia chip is rectangular - will this cooler be sufficient?

Also, from the looks of the packaging, they do come with the vrm heat sinks, right?

Since you own the Palit, it comes with a 53x53mm mounting hole which shouldn't be a problem for the accelero since it can mount with that dimension. As for the cooler itself it should be better than your stock cooling by at least 7~10*C. Comparing it to the Gelid Icy Vision though which easily handles the 460 is something else.

If I'm not mistaken, the Palit (& Gainward) are non reference cards whereas the other Gtx cards you mentioned are reference. Slightly different design where the mounting holes for the vga heat sink do not match up. I was able to use the heat sink and fan from my old 4850 on my Palit 460 but the power connector for the fan didn't match the socket on the video card or my motherboard.

This is BS. I ordered this before I realized there was a height difference between the 1GB and 768MB cards. *****. RMA time.

The only good options (good temps) for the 1gb cards are (in order):

1) Thermalright Shaman
2) Scythe Setsugen 2 - tied
2) Deepcool v4000 - tied

The results for both the Setsugen 2 and v4000 are very close, so take your pick.

To give you an idea on the v4000 performance though, my GTX 460 runs 24/7 @ 900 /4200 and has load temps of 51*~53*C when gaming; while at idle it sits at 32*C. Also when using kombustor, it has only hit 61~63*C. This is all done at an ambient of 28~30*C, pretty good if you ask me considering the stock fan at 100% would hit 73~74*C at its OC level.
