will reuse graphics card, hard drive, monitor, speakers, mouse + keyboard, dvd drive.
is there any cheaper ram that is still good?

If you make your wish list public and post the link it's much easier to view the parts your selecting at the Egg.

Anyway, if your looking for a good OC that is not extreme, most good Biostar MBs can provide that. They OC well, but usually are a bit limited in the BIOS options. I've had a few Biostar MB so I know from experience.

what are the odds of the 555 unlocking to 4 cores?

Looks good, but I don't recommend unlocking on a board that has an unheatsinked 4+1 power phase (an unlocked Phenom II consumes 125W or more).

are they any other good boards that have a heatsinked 4+1?

Actually to be honest I don't recommend any 4+1 power phase boards for 125W processors, even heatsinked 4+1s have blown up on 125W processors before. I normally recommend a minimum 8+2 power phase, but that's usually only found on ATX boards such as the cheap and good ASUS M4A79XTD EVO. You can purchase some aftermarket mosfet heatsinks such as Enzotech's MOS-C1.
