Phenom 2 x4 940BE too Phenom 2 x4 955BE?

Hi guys im having some problems deciding what to upgrade

my current rig as it says in my sig rig etc. But im thinking of upgrading my cpu, the pc is mainly used for gaming, and would like to OC a bit, so is it worth the upgrade from my 940BE too a 955 or even a 965BE cpu?

As for future upgrading i will be deffenently doing that, will upgrade the motherboard and ram etc in the future, but for now would the 955 or 965 work with my board and the ram at DDR2 800 until i can afford to get a new mobo and ram etc?

What games are you playing?

I'd recommend a better GPU first.

All games, like Warcraft, COD4, racing games etc, basically all the new games that are out. ive thought about getting a Ati6870 but still deciding what to upgrade first

You would see a bigger increase in FPS if you upgreade your GPU. A 6870 would be a good choice but even a GTX 460 1gb would be a lot faster than your 5770.

As for the CPU I would take the 955. They overclock the same if not better than the 965 however I would wait untill you upgrade your board and Ram

Hmm, was thinking that aswell, but surely my Graphics card is more newer than the cpu therefore a new am3 cpu would prob bring more benefits than the Graphics?

Im probably wrong there, but for me getting a new cpu and cooler sounds more realistic as i am able to play most my games maxed out with my 5770.

The 955 was released a mere 3 months after your 940, and your 5770 was released 7-8 months after your 940. Upgrading your CPU really won't do that much especially since you're running DDR2....and most games are GPU-bound, those few that are not GPU-bound don't benefit from say 6 cores anyway.

DDR2 doesn't bottleneck AM3 processors. But if you're going to upgrade to a C3 955 (can hit 4GHz pretty easily) then I'd wait a little for AMD to drop prices a little due to Sandy Bridge. Otherwise a 6870 is a good choice.

That's a huge sidegrade.

1) The 940 and 955 are architecturally the same, except the 955 has support for both DDR2 and DDR3 while the 940 can only support DDR2. Clock for clock they will perform the same! The only benefit is the 955 C3 stepping will overclock better, but your Zalman 8700NT can't OC a quad well either way.
2) There is no real world difference between DDR2 and DDR3.

Your computer is fine for gaming. If I were you, I would upgrade to a Mugen 2 and then perhaps another GPU if you feel necessary. As for upgrading your RAM/CPU/mobo, there is no point since it's sidegrade city. Wait for bulldozer to start on a new platform. The AMD 6 cores are nice right now, but for gaming it won't do jack either, and there won't be much real world difference unless you're doing very intensive tasks like encoding a lot, etc...
