A few thoughts on this:
-First OCZ RAM is out of stock now sadly
-Replace the latter 3 memory choices with the Ripjaws 7-8-7 (6-8-6 capable) for $65
-If you don't mind a PSU downgrade to 520W (still reliable), replace the PSU/GPU with this PSU/GPU for $150, $130 AR
-Always get Samsung F3 1TB from Superbiiz (cheaper, faster shipping)
Always get Hyper 212+ from -buy.com (Much cheaper due to free shipping)
Some cases I also have for you:
HEC Blitz - $30 shipped (Best budget case right now)
Rosewill Destroyer - $55 shipped (Great for this price range)
NZXT Tempest EVO - $90 shipped (My personal favourite at $90 price range)

I might add on some more deals later if I can find any that are ridiculously good, but a combination of RabbitGT's and the one right below it look to be the best ones here.

The x4 940 will not work with that motherboard, it is AM2+ socket and DDR2 only.

You made a poor, blatant RAM choice there. What I hate the most is seeing people cheap out or skimp out on RAM and get the most ripoff 1333 CAS9 kit possible. Go with either of these instead:
OCZ Special Ops 1600 CAS8 - $45 shipped (6-8-6 capable)
GeIL Value 1600 CAS9 - $46 shipped
Corsair XMS3 1600 CAS9 - $50, $40 shipped

Also as I said go with the Samsung F3 1TB on Superbiiz, it is cheaper than a 500GB.

calm downnn the ram i picked out is almost the same price of what you picked out, it was just a slight oversight. i picked ripjaws because ive had good luck with them in the past. but if there is better ram out there for close to the same price of course i would go for them (what you showed me)

i switched the processor up to this

and ram to this

I was more concerned about you pairing the AM2+ processor with the AM3 socket. Aside from the fact that it won't fit, if you remove the pins that allow it to it still won't work for several reasons.
