Those look good, but there is some improvement you could make.
The first one is the HDD's. I suppose both 40Gb's HDD's you have in both PC's are still the boot disks. That will slow down the general performance of the PC. If you move the OS to the bigger HDD, it will improve performance. Not to mention noise. I've got a 40GB Maxtor and it is noisy, especially if you have it working in an HTPC.
The second is the AGP card. Probably not much of a bottleneck with a 3Ghz P4, but if you later buy a 3.4, you could get yourself either the X1950Pro, the 2600XT, the HD3850 or the HD4650.
The Scythe Katana III is a good cooler for a very good price. It has a very clever mounting system that works on Skt 478, 775, 1156, 1366, AMD 754,939, 940, AM2, AM2+, AM3. And it's very simple to exchange the mounting system. Very clever and simple solution. And the heat-pipe arrangement is also very clever. The fan can also be easily replaced with another one, since it's an 80mm case fan.
As to Windows Vista, probaly not the best OS to have with a P4. If you want to try games that need DX10, you will need one of the faster HD3850 or HD4650 anyway, and either way you're better off with Windows 7.
If you don't need or want to play DX10 only games (and they probably wouldn't give much performance given the single core CPU), I'd suggest you install Windows XP, at least for the machine you intend to do some gaming with.
The HTPC could stay with Windows Vista because it's got the very useful Media Center.
