Reason I ask is I'm debating if it's worth the $125 to upgrade when I can just as easily reformat with the XP CD I've had for years.

Definitely worth it, and get 64 bit. Not only does it support more than 3.2GB of ram, it also has patchguard so rootkits are much MUCH less likely.

I'd actually say go for professional if you have the money to spare, xp mode comes with it (virtualize xp with a legit key) and it's very helpful for when you run across programs that still don't work with Windows 7.
