Sometimes non-reference cards are built intended to lower the production cost whcih utilize cut down components and cust down VRM design with a marginal better cooler. The bottomline, you lose software voltage control in afterburner and potentially worse built quality.

On the other hand, there's the non-reference design cards built intended to surpass reference quliaty and limitation with better VRMs deisgn, components and PCBs with cheerypicked GPUs. Thus, gives you better OC headroom, runs cooler and potentially last longer.

Basically, you can simply tell from the price between cost down non-reference or quality non-reference.

nice explanation from upper floor, agree with that though you can oc reference card by yourself, but those refernced GPUs have not been selected and classified, they cannot guarantee that you can oc them as those classified GPU. That's why I always buy non-reference OC or SO cards.
