HTPC Build Recommendation?

I wanted to ask of the more HTPC-knowledgeable community at overclock.net about what parts to get for an HTPC. I'm pretty low on budget, but the HTPC not going to do anything too intensive. Here's what I need the HTPC to be like/do:

-Small Case, not FullATX size. Preferably MicroATX or smaller. Something like the CoolerMaster Elite 100
-Needs to be almost Inaudible, like when its the only audible thing in the room.
-Able to be horizontally mounted and able to withstand hot-to-touch heat as I'm probably going to mount it on top of my heat producing Home Theater System (if possible).
-Front USB

That's about it for design wants. Here are computing wants:

-Needs the play MKV files at 1080p smoothly on a 1080p Monitor and a 1080p TV at the same time. No Bluray or Bluray 3D playback is necessary.
-Torrent, overnight downloading
-Basic stuff (Internet, DVDripping/burning, Word, Powerpoint.)
-Will install Windows 7 Ultimate 64bit on it.

No gaming, or TV tuners or TV on the computer stuff like that. No Photoshop, memory intensive applications. Nothing too powerful.

My budget is a measly $200. Yes, it's low, but as a high school student trying to support a gaming PC (which I am replacing with the HTPC and move it from the living room to my bedroom), PS3 games, and other stuff, its pretty hard. Hopefully, as my needs for a HTPC are not that demanding, the community here will be able to help me out.

I have in my possesion already from my old build a fanless 5450 and a DVD Drive. That's about it. Don't know much about building an HTPC, hopefully you guys can help me out!

Processor (i am sure this will be plenty if you are just doing basic computer stuff)
and i belive that the psu that comes with the case i suggested should be plenty
the total cost is $213
oh not sure if you have hard drive though....

Yep, need a HDD, but it can be as low 120GB as my parents don't use that much space. Is that case PSU good? Don't want to get a low quality PSU and have it die out quickly. Thanks.

Also, BTW, is my 5450 sufficient enough for dual 1080p playback? Even my Q9550 and the 5450 lag on 1080p playback on two 1080p resolution screens (though that might be bottleneck)?

yeah the 5450 willnot handle it, will with this build so limited i am not sure you can upgrade to much,
try going to a local computer recycle station and see if you can scavange an old hdd for like 10 bucks
for gpu not really sure i mean if you are willing to compromise cpu for gpu then it will be possible but then you might get another bottle neck sigh you are in a pickle.........

here what i might do:
1. you need a good basis of $$$ for the parts other wise there is no point your just waisting money if you dont get you bang for your buck
2.collect money your parrents might be willing to fund 100-200 dollars extra that would be plenty to fund for a better gpu and what ever left over will be used for the case and gpu upgrade

Money does seem to be an issue...

What do you think should be an ideal budget for the HTPC I'm trying to accomplish?

well i would at least set 400, mainly finding a card that can handle the gpu requirements you want such as the radeon 5770 would probably be your best bet
also you might want to consider this case?
