possibility of bad cpu?

This may be of no help but go into your bios and change your (Raid) settings. I had problems installing Vista on my wifes new Computer and when i changed her raid settings it let me install (issues with HDD)

You know, i was just re reading everything u had originally posted, have you tried setting your system on default and then go back in and just change memory configuration? and leave rest alone to see if that fixes your problem?

Ill second that. Updating your bios is important, so check what bios version you currently have.

yes, i've tried the default settings, and the default settings with my changed ram specs, with no luck. the bios is up to date. i even downloaded and flashed the current one from the asus website just to be sure. still nothing. nothing is overclocked, all settings are set to auto except the ram

edit: memtest86 passed let it run for half an hour
buuuuut, just failed windows memory diagnostic on 2nd pass frown.gif

Well i seen that and im looking at the brand u gotten, did you just get it? or you had it? well i bought 2 ASUS motherboard, 1 worked for while then it lost turbo capability and sudden freeze ups and couldnt OC which was M4A87TD/USB3 sent that in for Warranty RMA after 6 weeks, 2nd motherboard i gotten is M4A88TD-V Evo/USB3, that one came out of box OC'd and no turbo capability, ASUS says reinstall windows and flash bios, did that and still same problem.. sent in on Warranty RMA and now i got it back and works great. havent gotten my chance to OC it yet.. but im guessing your board could be same issue.. needing Warranty work.. but ontop of that, can be CPU issue as well.. but this is just all thoughts.. dont take my word for it lol, when i first had the problem with first asus board, i sent both board and CPU out since i had like 4 months left of warranty on cpu... lol and turns out that the CPU was good, but as said it didnt have same symptons as you do. anyway just thoughts.. if you have another AM2+ cpu, id try it in there.. can be any AM2+ cpu that is supported and if same problem, then your looking at the motherboard.

Make sure that C1E is disabled(in BIOS). This thing use to "freeze" computers.
You can raise your CPU/NB voltage too
