Vista to Windows 7 OEM upgrade questions

Ok I have googled for a while looking for an answer but have not really found a complete answer.
I am building a computer, just reusing the dvd drive, hard drive, and case from my compaq presario sr5610f. It is running Vista home premium 32bit I wasn't thinking about upgrading it but my friend has a windows 7 professional 64 bit oem with unlimited uses on it. Now what he did with it was when he got his laptop with vista on it and downgraded it to xp then when win7 came out a month later he got the disk form his uncle and he just upgraded it. But I am not sure if it will work the same way for me because of Vista 32bit home premium.
Any help please?
Also is there any upgrade restriction hardware wise with win7 oem i never found an answer to that question but I figured i could since it is in the license for system builders.

If You're running Vista, you can run 7. Most processors are 64-bit capable now. Find out what processor you have. in Windows, through System Properties:
Right-click My Computer and select Properties . The processor type and speed is shown in the lower portion of the Properties window on the General tab. Windows 7 recommend you have at least 3.5 gigs of ram but 2 will work fine. but 4 is perfect.(i'm not 100 on the numbers)


also you can't go from 32 bit to 64 bit. You'll have to reformat your hard drive first which will cause you to loose all your data. So Back up all your important data. Also before wiping your Hard drive out, Download all your drivers to a disk and or a USB thumb drive.

and That thing about having a windows 7 DVD with unlimited installs sounds shady to me.

I am buying a 4gig stick, AMD 955 and all the other parts.
Ya I can live with formating my drive and I have questioned him many times about the unlimited install but he claims it has be used on 4 computer already. idc its a free one he letting me use XD

Is he currently using this license on another PC? If so, you CAN NOT use it. It is against the EULA for Microsoft.

I still have a question about the hardware upgrade on OEM, I have read in places that once you install OEM you cant upgrade you hardware or change a mobo or something like that

No windows os other than a corporate version with a volume licence can be installed on more than one pc at a time!
The only way you can legally install a retail copy on another pc is by unistalling it from the first beforehand.
The key your friend has will most likely be blacklisted in the very near future so get your own legit copy.

I just talked to him today he has used it on 11 computers apparently. He has shown me the case with the disk and key and it all looks legit. Let me ask him where his uncle works since that's who he got it from
