ok here's what actually happened:

when I power on the PC, everything including the fans start running. then 1 sec later, they stop running instantly. When I power on again, nothing starts - absoutely nothing.

the only solution to get everything start running for 1 sec is by draining the power out and resetting the CMOS.

I don't think it was the memory. I ran em on a different pc
and they run just fine.

Ok does the board power off then power back on and then the bios beep goes off?

nope, there wasn't any beep :/ the manual states that if a hardware failure occurs, the mobo will
beep contiunely. but in my situtation, no beep at all... lol.... that's just so messed up.

Im 75% sure that updating the bios can fix your problem, does you keyboard lights come on if so update the bios threw EZ Flash

Before I'd call it a day i'd advise you to take it to a local tech and have them check your system as far as the cpu or motherboard. Another suggestion which is not ethical, is to buy another board, use it as a test bed and then take it back to the vendor saying you had choosin the wrong type of board for you cp after you have determined if it is the board. I had my rig for 3 days and I started having similiar issue's as you without an oc and it turned out to be a bad board. Food for thought.

what's the point of letting a local tech check it out? I can't get replacements anyways. I overclocked the system to death and overclocking voids warrenties. so there's nothing I can do about it but to throw the parts away...
