Well the Phenom II processors are much more TDP-heavy and amperage-heavy then the original 65nm Phenom, just a thought
And ASRock's VRMs are very cheap - so cheap to the point where I've seen an ASRock 8+2 phase go.

ASRock already split from ASUS actually some time ago
Even then ASRock was a budget brand

It seems like one of the most common mistakes people make when building their PCs is not researching their mb options enough.

AMD Phenom II X2 555 Black Edition Callisto 3.2GHz
I'd go with this one personally, it's a 2 core Black Edition that can be unlocked to 4cores. 4 cores isn't exactly guaranteed; however, there is a very good chance with newer models. You can probably take it to 3.4Ghz w/4 cores active or 3.7 w/2cores on stock cooling if your case isn't an oven.

As I said, I wouldn't unlock/OC on that motherboard at least without some form of MOSFET cooling (even then I myself wouldn't do it anyway.... it's still cheap and fairly risky IMO)

i wouldnt overclock with the stock cooler
unlocking might be ok, just watch the temps, max 62c keep it under 55c

I have no idea where you keep getting your information from about asrock boards having cheap VRMs?
I can understand a 3+1 vrm set up being cheap but plenty of people are running 4+1 vrm set ups with unlocked and way overvolted processors and are folding 24/7.
I have had a vrm go out on my biostar board and you dont see me running around screaming dont buy a biostar.
Also your VRM chart is very misleading and horribly incorrect.

I already have a nice cooler, look at my sig rig...

Anyway, is the Phenom II 945 worth the extra $20-$30? The Athlon II 640 seems like the better deal.
