Should i upgrade my cpu or my graphics card?

I have an aging E6700 C2D on a p5n32-e sli plus. And i have an x1950xtx graphics card.

I want to upgrade the cpu, but this board has problems with 45nm chips of the quad variety, apparently it doesn't support them, but some people claim they do.

I want to get the best out of the rig without spending a bomb on a whole new system (i would go sandybridge if i had the money) but i'm not sure whether it's worth overclocking the cpu and upgrading the card, or just getting a new cpu?

Anyone wanna give me some help?

I would go GPU as well. Your CPU will bottleneck the latest and greatest cards, but something like an ATI 5770 like suggested above would probably work pretty well for you.

I wanted a little more bite then that, i was thinking a GTX 560(ti) but is this a good choice? I didn't want to buy a card then buy another more powerful one because lets face it, the 5770 is starting to show it's age a little bit.

your cpu will bottleneck the 560

A 5770 will do a pretty good job on Crysis, depending on your resolution. It should max it at, say, 1440x900, get high on 1680x1050, and do at least medium on 1920x1080/1200.
